This sub-lease relates to a lease agreement registered on 25/10/2013 between Mr Ensah Amodu and other Landholders / Owners / Representatives of Landholding Families as well as Paramount Chief B. V. S. Kebbie of Malen Chiefdom, Pujehun District (known as the "principal lessors").
The government has sublet its interest, entitlements, rights and obligations under the lease agreement to Socfin Agricultural Company (SL) from any incumbrance or restraint from the principal lessors.
During the term of the sub-lease, Socfin Agricultural Company (SL) is entitled to the full protection of the law against third parties or any person seeking to destroy, tamper or interfere with Socfin Agricultural Company (SL)'s lawful operations.
Socfin Agricultural Company (SL) may renew the sub-lease for a further period of 25 years after the sub-lease expires and once the option period contained in the principal lease has been granted to the government. Socfin Agricultural Company (SL) must give the government written notice of its intention to renew the sub-lease within 1 year of its expiry. Any optional period granted will be granted on the same terms as this sub-lease.
The concession area consists of 15,491.4860 acres equivalent to 6,269.3185 hectares as is delineated on the Survey Plan marked or numbered BLS 199/13 dated 4 August 2013
Socfin Agricultural Company (SL) will allow the government to perform and deliver the corporate social and environmental responsibilities it is expected to provide to the local community and beyond as the government reasonably deems fit and appropriate within the limits of its investments
Socfin Agricultural Company (SL) will pay all the costs, taxes, charges, legal fees and expenses incidental to the preparation and registration of this sub-lease
Mr Ensah Amodu and other Landholders / Owners / Representatives of Landholding Families as well as Paramount Chief B. V. S. Kebbie of Malen Chiefdom, Pujehun District are the principal lessors of a lease agreement. Socfin Agricultural Company (SL) will, where applicable or appropriate, permit the principle lessors of the principle lease to cohabit or co-exist with them on the concession area or, alternatively, safely relocate the affected principal lessors to another place fit for human habitation within legally environmentally conducive standards and requirements.
Socfin Agricultural Company (SL) will allow the government to visit and inspect the state and condition of the concession area on an annual basis; and fix any damage that the government may bring to Socfin Agricultural Company (SL)'s attention
Any dispute between the government and Socfin Agricultural Company (SL) shall first be referred to mediation or arbitration based on international standards
Socfin Agricultural Company (SL) may not assign or sublet any part of the concession area without the prior written consent of the government. The government may not unreasonably withhold consent.
Socfin Agricultural Company (SL) will peacefully surrender the concession area on the termination of the sub-lease, unless the sub-lease is renewed.
Socfin Agricultural Company (SL) will remove all its assets and removable fixtures from the concession area on the termination of the sub-lease.
If rent has not been paid for more than 1 year after becoming due, whether formally demanded or not, or if Socfin Agricultural Company (SL) fails to perform any of its contractual obligations, the government may, by providing 6 months written notice, re-enter and take possession of the concession area.
